EBP SOLUTIONS LLC provides computer systems design and related services, including but not limited to custom software development, cloud infrastructure consulting, data engineering, cybersecurity, UI/UX design, and digital transformation strategy. 4. Client Responsibilities

As a client of our services, you agree to:

• Provide accurate, complete, and timely information and materials necessary for us to perform the services
• Cooperate with our team and make key personnel available as needed
• Review and provide feedback on deliverables within agreed timeframes
• Pay all fees and expenses in accordance with the terms of your service agreement
• Maintain the confidentiality of any proprietary information shared during the engagement

5. Fees and Payment

Fees for services will be outlined in the applicable proposal, quote, or statement of work. Payment terms, including due dates and late payment penalties, will be specified in the service agreement. Unless otherwise agreed, all fees are non-refundable once work has commenced on a project phase.

6. Limitation of Liability

To the maximum extent permitted by applicable law, EBP SOLUTIONS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Site or our services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

7. Disclaimer of Warranties

The Site and our services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Site or the services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of the service agreement. Confidential information includes, but is not limited to, business strategies, technical specifications, client data, trade secrets, and financial information.

9. Termination

Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. Upon termination, you must pay all fees due for services rendered up to the date of termination. Sections of these Terms that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and governing law — shall continue to apply.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Fresno County, California.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
